1. Acceptance of Terms

By accessing or using the Acephalt platform and website at https://www.acephalt.com (the “Service”), operated by Acephalt Inc. (“Acephalt,” “we,” “us,” or “our”), located at 89 Nepean St, Ottawa, Ontario, Canada, you agree to be bound by these Terms of Use. If you do not agree with any terms, please do not use the Service or provide any personal information to us. Your continued use of the Service after any changes constitutes your acceptance of the revised Terms.

2. Description of Service

Acephalt provides an AI-powered due diligence automation platform that runs parallel agents to extract facts, identify risks, and organize findings for investment professionals, venture capital firms, and family offices. The Service is intended for professional and business use. Access to certain features of the Service may be limited to invited participants during our beta/pilot program.

3. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate information during registration and to notify us immediately of any unauthorized use. The platform employs tenant data segregation to ensure that data uploaded to one account is never accessible by other users. Access is limited to authorized representatives and may not be resold or redistributed without express written permission.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose.
• Upload malicious content, viruses, or harmful code.
• Attempt to gain unauthorized access to our systems or bypass security measures.
• Reverse-engineer, decompile, or disassemble any part of the Service, including the multi-agent AI pipeline.
• Resell or redistribute the Service without our written consent.
• Upload data rooms or financial documents for which you do not have the legal right to share.
• Engage in automated data collection or scraping from the Acephalt dashboard.

5. Intellectual Property

All content, features, functionality, software, AI models, trade secrets, and proprietary technology of the Service are owned by Acephalt Inc. and are protected by intellectual property laws. You retain ownership of any data you upload, but grant us a limited license to process it for the purpose of delivering the Service. All AI-generated outputs, including memos, risk flags, and confidence scores, are provided as tools to assist your decision-making and remain subject to verification by the user.

6. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied. Acephalt employs a “Human-in-the-Loop” architecture where AI-generated claims are anchored to verifiable data points with source citations. However, Acephalt does not guarantee that results generated by the platform are complete, accurate, or suitable for any particular purpose. You are responsible for independently verifying all findings before making any investment or business decisions.

7. Limitation of Liability

To the fullest extent permitted by Canadian law, Acephalt shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to loss of profits from investment decisions, even if we have been advised of the possibility of such damages. Our total liability to you for any claims arising from or related to the Service shall not exceed the amount you paid to Acephalt in the twelve (12) months preceding the claim.

8. Data Security

We implement industry-standard security measures, including AES-256 server-side encryption for data at rest and TLS 1.2+ encryption for data in transit. Data is segregated by tenant to prevent cross-customer access. However, no internet transmission or electronic storage method is 100% secure. While we strive to use commercially acceptable means to protect your information, we cannot guarantee its absolute security.

9. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, including for violation of these Terms. Upon termination, your right to use the Service will cease immediately. Acephalt will securely destroy or anonymize personal information and uploaded data, subject to legal, accounting, or reporting requirements.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, including the Personal Information Protection and Electronic Documents Act (PIPEDA), without regard to conflict of law principles. Any legal disputes or claims arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Ottawa, Ontario.

11. Changes to These Terms

We may update these Terms of Use from time to time to reflect changes in our practices or legal requirements. We will post any changes on this page and update the “Effective Date” at the top. We encourage you to review these Terms periodically. Your continued use of the Service after any changes constitutes your acceptance of the revised Terms.
